Terms of Service

1. Acceptance of Terms
Welcome to Palaris. By creating an account, accessing, or using any part of the Palaris platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.
We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or an in-platform notification.
2. Description of Service
Palaris is an online learning platform that connects students with tutors. The platform allows tutors to create and publish educational courses, and allows students to enroll in and complete those courses. Features include video and text-based lessons, quizzes, progress tracking, certificates of completion, course reviews, forums, and more.
Palaris acts as an intermediary marketplace between students and tutors and is not itself an educational institution. Palaris does not guarantee the accuracy, quality, or completeness of any course content published by tutors.
3. Eligibility and Account Registration
The Service is open to users of all ages. Users under the age of 13 must have the consent of a parent or guardian to register. By registering, you confirm that:
- All registration information you provide is accurate, current, and complete.
- You will maintain and promptly update your account information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You will notify us immediately if you become aware of any unauthorized use of your account.
Palaris reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including for violation of these Terms.
4. User Roles
Students
As a student, you may browse the course catalog, enroll in free or paid courses, track your progress, participate in course forums, submit quiz attempts, and earn certificates of completion. You agree to use course content solely for your personal, non-commercial learning purposes.
Tutors
As a tutor, you may create, publish, and manage courses on the platform. By submitting a course for publication, you represent and warrant that:
- You own or have the necessary rights to all content in your course.
- Your course content does not infringe any third-party intellectual property rights.
- Your course content does not violate any applicable laws or these Terms.
- Your course is accurately described and the content delivers reasonable educational value.
Courses are subject to review and approval by Palaris administrators before being published. Palaris may decline to publish or may remove any course at its discretion.
5. Intellectual Property
Platform Content
The Palaris platform, including its design, software, trademarks, and all content created by Palaris (excluding tutor-created course content), is the exclusive property of Palaris and its licensors. Nothing in these Terms grants you any right to use Palaris trademarks, logos, or branding without prior written consent.
Tutor Content
Tutors retain ownership of the intellectual property rights in their course content. By publishing content on Palaris, tutors grant Palaris a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content for the purpose of operating and promoting the Service.
Student License
Upon enrolling in a course, students receive a limited, non-exclusive, non-transferable, non-sublicensable license to access and view the course content for personal, non-commercial educational purposes only. You may not download, copy, reproduce, share, distribute, or create derivative works of any course content without express written permission from the content owner.
6. Payments and Fees
Paid Courses
Some courses on Palaris require payment. All prices are displayed on the course page before purchase. By completing a purchase, you authorize Palaris to charge the displayed amount via the payment method you provide.
Payment processing is handled by Paddle, a third-party payment provider. Palaris does not store your full payment card details. Your use of Paddle is governed by Paddle's Privacy Policy.
Platform Commission
Palaris retains a commission on each paid course sale. The current commission rate is displayed to tutors in the course pricing settings. Tutor payouts are processed manually by the Palaris team on a scheduled basis. Palaris reserves the right to adjust the commission rate with reasonable notice.
No Refund Policy
All sales are final. By completing a purchase, you acknowledge and agree that no refunds will be issued under any circumstances, including but not limited to: change of mind, failure to complete the course, dissatisfaction with course content, or technical issues on the user's end. Please review the course description, preview any available lessons, and ensure the course meets your needs before purchasing.
In the rare event of a verified platform error that prevented access to content you paid for, you may contact us at [email protected] and we will investigate. Any remedy in such cases is at Palaris's sole discretion and does not constitute a general right to a refund.
One-Time Access
Certain courses may be configured with one-time access, meaning that once you have completed the course and received your certificate, further access to the course content may be restricted. This will be clearly indicated on the course page before purchase.
7. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Post, upload, or distribute content that is defamatory, obscene, hateful, or otherwise objectionable.
- Infringe the intellectual property rights of Palaris, tutors, or any third party.
- Attempt to gain unauthorized access to any part of the Service or its systems.
- Use automated tools (bots, scrapers) to access or extract data from the platform.
- Share your account credentials or allow others to access the Service through your account.
- Resell, redistribute, or sublicense access to any course content.
- Post spam, misleading information, or fraudulent reviews.
- Harass, threaten, or intimidate other users through the forum or any platform feature.
- Attempt to reverse-engineer, decompile, or interfere with the platform software.
Violations may result in immediate account suspension or termination without refund.
8. Certificates of Completion
Palaris issues certificates of completion to students who complete 100% of a course's lessons. Certificates are non-transferable and are issued to the registered account holder only. Palaris makes no representations regarding the recognition or accreditation of certificates by any third-party institution, employer, or regulatory body.
9. Disclaimers and Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. Palaris does not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components.
To the maximum extent permitted by applicable law, Palaris shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if Palaris has been advised of the possibility of such damages. Palaris's total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid to Palaris in the twelve (12) months preceding the claim.
10. Termination
You may close your account at any time by contacting us at [email protected]. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.
Palaris may suspend or terminate your account at any time for violation of these Terms or for any other reason at its sole discretion. Termination does not entitle you to a refund of any fees paid, except where required by applicable law.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the competent courts of the Republic of Azerbaijan.
12. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
13. Course Deletion Policy
Tutors may request the removal of a course they have published on Palaris. Such a request does not take effect immediately — it is subject to review and approval by Palaris administrators.
Effect on Enrolled Students
If a course deletion request is approved by Palaris:
- The course will be removed from the public course catalog and will no longer be discoverable or purchasable by new users.
- Students who are already enrolled in the course at the time of deletion will retain full access to all course content, including lessons, quizzes, forums, notes, and handouts.
- Any certificate of completion earned by enrolled students remains valid and is not revoked under any circumstances.
- Enrolled students may continue to submit and edit reviews, participate in the course forum, and use all other features as if the course were still live.
- Enrolled students will see an informational notice indicating that the course has been removed from the platform, along with a reminder that this does not affect their enrollment, progress, or certificate.
What Deletion Means for Non-Enrolled Users
Users who were not enrolled in the course at the time of deletion will no longer be able to find, view, or enroll in that course. The course will not appear in search results, the course catalog, or any instructor profile pages.
Palaris's Discretion
Palaris reserves the right to approve or deny any course deletion request at its sole discretion. Palaris may also initiate course removal independently, subject to the same protections for enrolled students described above.
